Terms of Service
Last updated: August 3, 2025
These terms govern your use of Kodesiq's AI-powered sermon Q&A platform.
Acceptance of Terms
By accessing or using Kodesiq, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our service.
Description of Service
Kodesiq is an AI-powered platform that helps churches create interactive Q&A experiences based on their sermon content. Our service processes your sermon materials (videos, audio, PDFs, text) using third-party AI services to enable congregation members to ask questions and receive contextual answers. Content processing involves automated transcription, analysis, and vector database storage for search functionality.
User Accounts and Responsibilities
Account Creation
You must provide accurate and complete information when creating your account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
Acceptable Use
You agree to use Kodesiq only for lawful purposes and in accordance with these terms. You may not:
- Upload content that is illegal, harmful, or violates others' rights
- Attempt to gain unauthorized access to our systems
- Use our service to spam or harass others
- Reverse engineer or attempt to extract our AI models
- Share your account credentials with unauthorized users
- Use our service for any commercial purpose outside your church
Content and Intellectual Property
Your Content
You retain all rights to your sermon content. By uploading content to Kodesiq, you grant us a limited license to process and store your content solely for the purpose of providing our AI Q&A services to your church. This includes processing your content through third-party AI services for transcription, analysis, and embedding generation. Your content remains private to your church and is not shared with other users.
Our Intellectual Property
Kodesiq's technology, including our AI models, software, and platform, is protected by intellectual property laws. You may not copy, modify, or distribute our technology without written permission.
Billing and Payments
Subscription Plans
Our service is offered through various subscription plans with monthly or annual billing cycles. Billing occurs automatically based on your subscription start date. You can upgrade, downgrade, or cancel your subscription at any time through your account dashboard, subject to usage validation for downgrades.
Usage-Based Billing
Most plans include usage limits for Q&A interactions and content processing capacity (measured in word count). When you exceed your plan's Q&A interaction limit, you will be charged overage fees at the rate specified in your plan. Overage billing is calculated based on your subscription billing period (monthly or annual) and is charged automatically. Content processing capacity limits are enforced and may prevent additional content uploads when exceeded.
Refunds and Cancellation
Subscription payments are generally non-refundable except as required by law or in cases of service failure on our part. When you cancel your subscription, it remains active until the end of your current billing period. Any outstanding overage charges will be billed upon cancellation. You can request refunds for specific circumstances by contacting our support team.
Service Availability and Limitations
We strive to maintain high service availability, but we cannot guarantee uninterrupted service. Our service depends on third-party providers for AI processing, cloud hosting, and other infrastructure components. We may temporarily suspend service for maintenance, updates, security issues, or due to third-party service disruptions. We will provide advance notice when possible.
Processing Limitations
Content processing (transcription, analysis, embedding generation) may fail due to file format issues, size limitations, or third-party service availability. We implement retry mechanisms but cannot guarantee successful processing of all content. Processing times may vary based on content size, system load, and third-party service performance.
Limitation of Liability
Kodesiq is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of our service. Our total liability is limited to the amount you paid for the service in the 12 months preceding the claim.
AI Services and Accuracy Disclaimer
Our service uses third-party AI models for content processing, transcription, and question answering. While these AI systems strive for accuracy, they may occasionally provide incorrect, incomplete, or inappropriate responses. AI-generated content should be reviewed and verified by qualified church leadership. Kodesiq is a tool to supplement, not replace, pastoral care, biblical study, and spiritual guidance.
We are not responsible for the accuracy, completeness, or appropriateness of AI-generated responses. Churches are responsible for reviewing and moderating AI responses before sharing with their congregation. The AI may not reflect the specific theological positions or denominational views of your church.
Termination
Subscription Cancellation
You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing period, and you will retain access to the service until that date. Any outstanding overage charges will be calculated and billed upon cancellation.
Account Termination
We may terminate or suspend your account for violation of these terms, non-payment, or other legitimate business reasons. Upon termination, your access to the service will cease immediately. We will delete your data according to our Privacy Policy, typically within 30 days of account closure.
Survival
Sections of these terms that should survive termination (including intellectual property rights, limitation of liability, payment obligations, and data handling provisions) will remain in effect after termination.
Third-Party Services
Our service relies on various third-party providers for essential functionality:
- AI services for content processing, transcription, and analysis
- Cloud hosting and storage providers
- Payment processing services
- Email delivery services
- Analytics and monitoring services
Service availability and performance may be affected by these third-party providers. We are not responsible for third-party service failures, but we will make reasonable efforts to minimize service disruptions. Changes to third-party services may require updates to our service functionality.
Changes to Terms
We may update these terms from time to time. We will notify you of material changes by email and by posting updated terms on our website. Your continued use of Kodesiq after such changes constitutes acceptance of the new terms.
Governing Law
These terms are governed by the laws of the State of Texas, United States. Any disputes will be resolved through binding arbitration in Austin, Texas.
